Terms of Service

1. Acceptance of Terms

By accessing or using the MakeAutomation Voice AI platform (the "Service"), including through the GoHighLevel marketplace integration, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

MakeAutomation Voice AI provides an AI-powered voice agent platform that enables businesses to deploy conversational voice agents for inbound and outbound phone calls and web-based voice interactions. The Service includes call management, real-time transcription, sentiment analysis, analytics dashboards, and CRM integrations.

3. Account and Access

• Accounts are provisioned by MakeAutomation or automatically through the GoHighLevel marketplace install flow.
• You are responsible for maintaining the confidentiality of your API keys, embed tokens, and account credentials.
• You must notify us immediately of any unauthorized access to your account.
• One GoHighLevel location maps to one MakeAutomation tenant. Sharing credentials across locations is prohibited.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes, including but not limited to robocalling, fraud, harassment, or deceptive practices.
• Record calls without proper consent as required by applicable laws (one-party or two-party consent states/jurisdictions).
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Exceed reasonable usage limits or engage in activity that degrades the Service for other users.
• Use the Service to transmit malware, spam, or malicious content through voice agents.

5. Voice Agent Content

You are solely responsible for the content and behavior of your AI voice agents, including the system prompts, knowledge bases, and responses they generate. MakeAutomation does not control or endorse the output of your voice agents. You must ensure your agents comply with all applicable laws and regulations, including consumer protection and telemarketing laws.

6. Billing and Payment

• Pricing is set on a per-tenant basis, including a monthly base fee, included minutes, and overage rates as agreed during onboarding.
• Usage is tracked in real-time and aggregated monthly. Monthly billing reports are sent to the billing email on file.
• Payment is due within 30 days of invoice delivery unless otherwise agreed.
• Failure to pay may result in suspension or termination of Service.

7. GoHighLevel Integration

When installed via the GoHighLevel marketplace, the Service operates within your GoHighLevel sub-account. Installation grants the Service access to the OAuth scopes you authorize. You may revoke access at any time by uninstalling the app. Uninstallation deactivates your MakeAutomation tenant and ceases all data synchronization with your GoHighLevel account.

8. Data Ownership

You retain ownership of all call recordings, transcripts, and data generated through your use of the Service. MakeAutomation retains a license to process this data solely for the purpose of providing and improving the Service. We do not sell your data to third parties.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service depends on third-party providers (Deepgram, Cartesia, Telnyx, GoHighLevel) whose availability is outside our control. We are not liable for downtime caused by third-party service outages, scheduled maintenance, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, MakeAutomation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Termination

Either party may terminate this agreement at any time. You may terminate by uninstalling the GoHighLevel app or by contacting us. We may terminate or suspend your access for violation of these Terms, non-payment, or at our discretion with 30 days notice. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.
